There is a clear contrast between the corporate governance structure of the popular equity joint venture and the corresponding structure stipulated by the PRC Company Law. Without further, adequate reform, the corporate governance structur of equity joint ventures will continue to be an abnormality in China. Directors should take note of the potential conflict of interest and liability arising from this.
